WHEREAS, AGENT has knowledge of persons that may be viable candidates for certain NLI positions posted with Logjobs.com,
WHEREAS, NLI and AGENT desire to retain the professional services of each other.
NOW THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree to the terms and conditions set forth herein.
ARTICLE 1.STATEMENT OF RELATIONSHIP
AGENT may refer candidates for NLI’s eligible referral jobs marked R and posted on Logjobs.com. AGENT may not refer himself or herself for any of NLI ‘s eligible referral jobs.
ARTICLE 2.CANDIDATE INFORMATION
Before providing candidate's resume, Agent shall provide the name and location of the candidate and briefly describe how referral candidate's qualifications meet the requirements of this position. At that time NLI has the option of rejecting the candidate for reasons such as already knowing of the candidate or inadequate qualifications.
If the candidate is accepted by NLI, AGENT will provide the candidate’s full resume. In addition AGENT will have discussed the position with the candidate and confirmed to NLI that the candidate is interested in the position including its location and any salary information provided by NLI.
ARTICLE 3.REFERRAL FEES
If AGENT’S candidates presented to NLI are hired by NLI’s Client, NLI shall pay AGENT a referral fee in the amount posted in the job description for which AGENT’S client is presented. NLI shall pay AGENT in one installment, or in whatever increments payment is received as the case may be, within 7 days of the date NLI receives such payment from its Client.
ARTICLE 4.GUARANTEE
NLI will inform AGENT of the refund policy of its corresponding agreements covering Client positions for whom AGENT may provide candidates. AGENT agrees that if NLI is required to refund fees to a Client in accordance with the terms of NLI’s recruiting agreements, then AGENT shall repay their referral fee for candidates for whom such refunds were made
ARTICLE 5.TERM AND TERMINATION
This agreement will continue until either party notifies the other of termination in writing and the agreement expires in 30 days after receipt of notice. AGENT shall be entitled to any commissions owed but not realized at the time of termination.
ARTICLE 6.GENERAL PROVISIONS
A. Assignment and Delegation:Neither party shall assign or delegate this Agreement or any rights, duties or obligations hereunder without the express written consent of the other. Subject to the foregoing, this Agreement shall inure to the benefit of and be binding upon the successors, legal representatives and assignees of the Parties hereto.
B. Governing Law: The provision of this Agreement shall be governed by, and construed in accordance with, the laws of the State of New Jersey, except for its conflict of laws principles.
C. Authority:Each of the signatories to this Agreement acknowledges that he or she has the authority to sign this Agreement on behalf of NLI and AGENT respectively.
IN WITNESS WHEREOF, the parties have executed this Agreement by their duly authorized representatives.
